9.40: Session one: DPAs and privilege

This session will explore the grey areas that exist around privilege and the availability/negotiation of DPAs. It will examine lessons from the first DPA concluded in the UK and debate the role of the judiciary in that process, both in the UK and the US. The panel will include counsel to Standard Bank, the first company to agree to a DPA in the UK.

Questions the panel are expected to discuss include:

  • In reality, do you need to waive privilege to be offered a DPA and, if so, should you?
  • Does the perception (or reality) that waiver of privilege is probably a condition of a DPA affect the conduct of a company's internal investigation?
  • What lessons can be drawn from the first UK DPA about how to negotiate one?
  • What practical issues do you need to consider – anonymity, duties of disclosure to the market etc?
  • The US is usually regarded as the trend-setter in criminal justice. But is the UK now playing the leader in terms of the judiciary's involvement in the DPA process? Where are things heading in the US when it comes to the role of the judge?
